QUAKER CHEWY AFTERSCHOOL ROCKS SWEEPSTAKES OFFICIAL RULES

NO PURCHASE NECESSARY. PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. HOW TO ENTER. Visit www.quakeroats.com/afterschoolrocks (“Web site”) between 12:00 a.m. Central Time (“CT”) on February 8, 2010 and 11:59 p.m. CT on April 16, 2010 (the “Sweepstakes Period”) and follow directions on how to enter. Limit one entry per person/email address/household/per day. A “day” is defined as 12:00 a.m. CT to the following 11:59 p.m. CT. Sponsor and its agencies will not accept entries that are late, incomplete, misdirected, unintelligible or lost. Use of any robotic, automatic, programmed or similar entry method or more than one entry per day will void all entries and result in disqualification.
   
2. ELIGIBILITY. Open only to legal residents of the 48 continuous United States or the District of Columbia, who are 18 years or older as of February 8, 2010 and, if selected as the Grand Prize Winner, he/she must have the authority or permission to nominate a child between the ages of 6 and 17 years old (as of February 8, 2010) that is willing and able to participate in the Grand Prize event described herein. Void where prohibited by law. Employees, officers, and directors of Sponsor and its parent company, PepsiCo, Inc., and each of their affiliates, subsidiaries, distributors, advertising and promotional agencies and the immediate family members (spouse, children, parents, siblings) or household members (whether or not related) of each are not eligible. The promotion is subject to all federal, state and local laws and regulations.
   
3. DRAWING. One (1) First Prize Winner will be selected in a random drawing on or about one (1) business day following each day of the Sweepstakes Period from all eligible entries received for the particular day. The Grand Prize Winner will be selected in a random drawing on or about April 20, 2010 from all eligible entries received throughout the entire Sweepstakes Period. Drawings will be conducted by an independent judging organization whose decisions are final and binding in all respects. First Prize winners will receive their prize by mail within 4-6 weeks of each drawing. Potential Grand Prize winner will be notified by phone and/or email on or about April 28, 2010.
   
4. PRIZES/APPROXIMATE RETAIL VALUE (ARV)/ODDS OF WINNING. One (1) Grand Prize: Winner will receive three hundred (300) tickets to a private performance by Miranda Cosgrove, not to exceed 30 minutes at a sponsor-approved venue in or near nominated child's hometown. The event will also include an additional 45 minute DJ performance, beverages and snacks. Each child 18 years old or younger attending must be accompanied by a parent or legal guardian, who will each be considered one of the child’s guests. Nominated child will select the guest list for the concert. Nominated child, their parent or legal guardian and four of child’s guests (as selected by child) will have the opportunity to participate in a “meet and greet” with Miranda Cosgrove. Winner will also receive $10,333.33 (awarded in the form of a check) to help pay for taxes on the Grand Prize. No outside food or beverage will be allowed inside venue. Other restrictions/limitations at selected venue may apply. Performance location and date to be determined and executed by Sponsor at a later date, in Sponsor's sole discretion, but no later than November 1, 2010. Transportation to/from venue is solely the responsibility of winner and winner/nominated child's guests. Approximate Retail Value (ARV) of Grand Prize: $25,833.33. (68) First Prizes (1 for each day of the Sweepstakes Period): Forty-Eight (48) coupons each good for a Free Box of Quaker Chewy Granola Bars - consumer will still be responsible for any local sales tax on product, where applicable. ARV of each First Prize: $177.12. Total ARV of all prizes: $37,877.49. All other costs and expenses associated with a prize and not specifically described are the sole responsibility of the winner. Any difference between stated value and actual value will not be awarded. Prizes are not transferable or redeemable for cash and prize substitutions will not be allowed, except at sole discretion of the Sponsor who reserves the right to substitute prizes of equal or greater value, including, but not limited to, in the event Miranda Cosgrove is unable to perform for any reason. Winner is strictly prohibited from selling any of the 300 tickets to the private performance and will be disqualified as a Grand Prize Winner should this breach occur. Neither Grand Prize Winner nor their guests may record the performance. Unclaimed prizes will not be awarded. Winners are responsible for any federal, state and local taxes incurred as a result of accepting a prize. Limit one First Prize per household. First Prize Winners are eligible to win the Grand Prize. Odds of winning will depend on the number of eligible entries received.
   
5. GENERAL. Grand Prize Winner will be notified by phone and will be required to respond to the phone call within 48 hours indicating whether he/she can accept the prize. If no return call is received within the time allotted, an alternate Grand Prize Winner may be selected, at Sponsor’s discretion. Any alternates selected will also be required to respond to the phone call within 48 hours. Grand Prize Winner will be required to complete and sign an Affidavit of Eligibility, Liability Release and, where legal, a Publicity Release within seven (7) days of attempted notification and delivery of documents. Grand Prize Winner's nominated child and minor guests will be required to provide a liability release, and where legal a publicity release, signed by the minor's parent or legal guardian prior to attending the performance. [Other guests who are not minors will also be required to provide a liability release, and where legal a publicity release, prior to attending the performance.] Failure to comply with this condition or the return of prize documents as undeliverable, will result in forfeiture of prize, without compensation. Participation constitutes permission (except where prohibited by law) to use winners’ names and likenesses for purposes of advertising, promotion, and publicity purposes without additional compensation, unless prohibited by law. Entrants agree to abide by these Official rules and by the decisions of judges, whose decisions are final in all matters relating to this promotion. Failure to comply with these rules may result in disqualification from this promotion. Sponsor reserves the right at their sole discretion, to disqualify any individual who tampers with the entry process. In the event of a dispute as to any entry, entry will be deemed made by the name appearing on the entry. By accepting prize, winner releases and agrees to hold harmless Sponsor, its parent company, and each of their respective affiliates, directors, employees, officers and agents, including without limitation, their advertising/promotion agencies from any and all liability, injury, loss, or damage of any kind, including but not limited to personal injury or death, arising from or in connection with participation in the promotion, or the awarding, receipt, possession, use or misuse of any prize and/or with respect to participation in any prize related activity. Sponsor and its agencies are not responsible for any incorrect or inaccurate information, caused by Web site users; any error, omission, interruption, deletion, defect, delay in operation or transmission, communications-line failure, theft, or destruction or unauthorized access of the web site; or downloading materials from or use of the Web site. If, in the judges’ opinion, there is any suspected or actual evidence of tampering with any portion of the promotion, or if technical difficulties compromise the integrity of the promotion, the judges reserve the right to disqualify suspect entries and/or modify or terminate the promotion in a manner deemed reasonable by the judges, at the judges’ sole discretion.
   
6. WAIVER. By entering this promotion, participant waives all rights to claim punitive, incidental and consequential damages, attorneys’ fees or any damages other than actual out-of-pocket costs incurred to enter.
